2025 Session Last amended: 2001 session

§ 290.9725 — S Corporation

Plain-Language Summary

An S corporation (a corporation with a valid federal S election) is generally not subject to Minnesota corporate income tax. Instead, income passes through to shareholders. However, S corporations are still subject to the minimum fee, withholding requirements, and taxes on built-in gains and excess net passive income.

Practical Notes
Important for S corporation owners – the corporation itself generally does not pay Minnesota income tax, but you pay tax on your share of the income on your individual return.
