§ 302A.115 — Corporate Name

Plain-Language Summary

This section sets out the rules for choosing a corporate name in Minnesota. The name must be in English (or English characters), must include a word like 'corporation,' 'incorporated,' 'limited,' or an abbreviation, and must be distinguishable from other business names on file with the Secretary of State.

Practical Notes
When this applies: When choosing a name for a new Minnesota corporation or changing an existing corporate name. Who this affects: Incorporators and business owners forming or renaming a corporation. Key points: Always check name availability with the Minnesota Secretary of State before filing. The name must contain ‘Corporation,’ ‘Incorporated,’ ‘Limited,’ or an abbreviation like ‘Inc.’ or ‘Corp.’ The name cannot imply the corporation is organized for an illegal purpose. If your desired name is similar to an existing business name, you may still be able to use it with written consent from the other entity or by meeting other conditions described in this section.
