2025 Session Last amended: 1996 session

§ 308A.135 — Amendment of Articles

Plain-Language Summary

This section explains how to amend a cooperative's articles of incorporation. The board must first pass a resolution with the proposed amendment text, then give members notice and a chance to vote. The amendment passes if approved by a majority of votes cast at a meeting where a quorum is present. Amendments must be filed with the Secretary of State.

Practical Notes
Cooperatives with more than 200 members can publish the notice instead of mailing it to each member. Mail ballots are allowed if the board includes them in its resolution. The articles or bylaws can require more than a simple majority for approval. A certificate documenting the vote must be kept in the cooperative’s records.
