§ 317A.321 — Officers Considered Elected
Plain-Language Summary
States that an officer who performs duties of the office is considered duly elected.
317A.321 OFFICERS CONSIDERED ELECTED.
In the absence of an election or appointment of officers by the board or the members with voting rights, the person exercising the principal functions of the president or the treasurer is considered to have been elected to the office.

Practical Notes
Even without a formal election, a person acting as an officer is treated as properly appointed.
