§ 323A.0804 — Partner's Power to Bind Partnership After Dissolution

Plain-Language Summary

After dissolution, the partnership is still bound by a partner's actions if the action is appropriate for winding up or if the other party did not know about the dissolution and the act would have bound the partnership before dissolution.

Practical Notes
Even after dissolution, partners can still bind the partnership. Actions necessary for winding up the business are binding. Other actions may bind the partnership if the third party did not know about the dissolution. Filing a statement of dissolution helps limit this risk.
