§ 323A.1003 — Annual Renewal

Plain-Language Summary

Every year, an LLP must file an annual renewal with the Secretary of State. The Secretary of State may send a reminder notice. If the annual renewal is not filed by December 31, the LLP's statement of qualification will be revoked. The renewal can be filed online or on paper.

Practical Notes
Do not forget to file your LLP’s annual renewal with the Secretary of State each year. If you miss the December 31 deadline, your LLP status will be revoked, which means partners lose their personal liability protection. Set a reminder well in advance and consider filing online for convenience.
