§ 323A.1004 — Revocation for Failure to Replace a Required Registered Agent

Plain-Language Summary

If an LLP's registered agent resigns and the LLP fails to name a new agent by the time the resignation takes effect, the Secretary of State must notify the LLP. If the LLP does not name a new agent within 30 days after the notice, its statement of qualification will be revoked.

Practical Notes
If your registered agent resigns, you must quickly name a replacement. The Secretary of State will give you a 30-day warning, but if you do not act in time, your LLP status will be revoked. This means partners could lose their personal liability protection. Monitor any changes to your registered agent carefully.
