§ 322C.0113 — Office and Agent for Service of Process

Plain-Language Summary

Every Minnesota limited liability company must maintain a registered office and may also designate a registered agent for service of process, following the procedures set out in section 5.36. This gives the public and the courts a reliable place to deliver legal papers to the LLC.

Practical Notes
A registered office is required for every Minnesota LLC, while a registered agent is optional but commonly used to receive lawsuits and official notices. Keep the registered office and agent information current with the Secretary of State so that legal documents reach the company, and review section 5.36 for the specific filing and update requirements.
