§ 333.01 — Commercial Assumed Names

If you run a business in Minnesota under a name that is not your true legal name, you must file an assumed name certificate with the Secretary of State. The certificate must list your business name, your true name, and your address. After filing, you must publish the certificate in a local newspaper for two issues. You cannot use certain business-type words like 'corporation' or 'LLC' in the name unless your business is actually that type.

This is the core requirement for anyone operating under a DBA (‘doing business as’) name in Minnesota. Sole proprietors, partnerships, and other businesses must file before starting operations. You also cannot use a fake business name to mislead people about where your business is located. Failing to file can lead to penalties and problems in court.
