§ 336.2-612 — 'installment Contract'; Breach

Plain-Language Summary

In an installment contract (multiple deliveries), the buyer can reject a non-conforming installment only if the defect substantially impairs that installment and cannot be cured. The whole contract is breached only if a defect in one or more installments substantially impairs the value of the whole contract.

Practical Notes
In a contract with multiple deliveries, a problem with one delivery does not necessarily kill the whole deal. It must be a serious problem to justify canceling everything.
