§ 336.3-106 — Unconditional Promise or Order

Plain-Language Summary

A promise or order is unconditional unless it states a condition to payment, is subject to another writing, or says rights are governed by another agreement. Reference to another agreement for information does not make it conditional.

Practical Notes
For an instrument to be negotiable, the promise to pay cannot depend on other conditions. Simply mentioning the underlying deal does not make it conditional.
