§ 336.3-305 — Defenses and Claims in Recoupment

Plain-Language Summary

A holder in due course takes free of personal defenses like lack of consideration or breach of warranty, but subject to 'real' defenses like infancy, duress, illegality, fraud in the factum, and discharge in bankruptcy.

Practical Notes
A holder in due course can collect even if the original parties had a dispute, but cannot collect if the instrument was forged, obtained by extreme duress, or the signer was a minor.
