§ 336.9-320 — Buyer of Goods

Plain-Language Summary

A buyer in the ordinary course of business takes free of a security interest created by the seller, even if the buyer knows the security interest exists. A buyer of consumer goods from another consumer takes free of a security interest if they buy without knowledge of it and before a financing statement is filed.

Practical Notes
When you buy from a store, you get the goods free of the store’s lender’s security interest. When you buy used consumer goods from another consumer, you are free of unknown security interests.
