§ 465.717 — Creation of Corporations

Plain-Language Summary

Local governments in Minnesota cannot create corporations unless a specific law allows it. However, a joint powers entity created under section 471.59 may incorporate itself as a nonprofit under Chapter 317A, as long as the corporation follows all laws that apply to the participating governments and has no more power than the joint powers entity itself.

Practical Notes
This prevents local governments from creating shell corporations to avoid public accountability rules. Any nonprofit corporation created by a joint powers entity must be fully transparent and operate within the same legal limits as the governments that formed it.
