§ 336.2-603 — Merchant Buyer's Duties as to Rightfully Rejected Goods

Plain-Language Summary

A merchant buyer who rejects goods while the seller has no agent nearby must follow the seller's reasonable instructions. If there are no instructions and the goods are perishable or declining in value, the buyer must make reasonable efforts to sell them for the seller's account.

Practical Notes
If you are a merchant and reject perishable goods while the seller is far away, you cannot just let them rot – you must try to sell them on the seller’s behalf.
